General Terms and Conditions for Professionals — coaches, yoga teachers, and therapists offering services on the SuperMe platform.

PREAMBLE — PROFESSIONAL INDEPENDENCE

The Professional operates on the Platform as an independent service provider, in the context of an activity carried out on their own account, whether as a primary or secondary occupation. They freely determine their rates, schedules and methods of intervention, subject only to the quality standards, ethical rules applicable to their profession and these General Terms and Conditions.

This contractual relationship does not in any way create a legal relationship of subordination between the Parties. In particular, it does not establish: an employment contract within the meaning of the Swiss Code of Obligations (art. 319 ff CO) or any other applicable legislation; an employer-employee relationship, a principal-commercial agent, agency or representative relationship; any other form of association or partnership between the Parties.

The Professional conducts their activity from their own professional environment, with their own tools and methods. They retain full control over their schedule, their clientele outside the Platform, and the organisation of their professional practice. They are free to carry out their activity for other clients, platforms or employers without any exclusivity restriction.

MyEntourage Sàrl acts exclusively as a technical intermediary. It gives no instructions on the content or method of the Professional’s services.

Purpose

The Platform facilitates connection between wellness professionals and users seeking their services. It is operated under the “SuperMe” brand by MyEntourage Sàrl (CHE-410.574.084).

The SuperMe trademark is registered in: Switzerland (IPI No. 829678), the European Union (EUIPO, granted 3 February 2026), and the United Kingdom (UK IPO, granted 23 October 2025).

Access is currently restricted to:

Qualified yoga teachers;
Professional coaches;
Licensed therapists.

Acceptance of GTC

By registering on the Platform, the Professional accepts these General Terms and Conditions for Professionals in full. The relationship with users is governed by the GTC-Users, available at app.mysuperme.com/cgu.

Access Conditions

Only duly authorised practitioners in the eligible categories may register. The eligible categories may evolve at MyEntourage Sàrl’s discretion.

Where the Professional is a legal entity, acceptance by any of its employees or agents binds the entity.

Right of Access and Use

Principle

A revocable, non-exclusive and non-transferable right to access and use the Platform is granted for the duration of the contract.

No delivery

The Platform is provided as a service (SaaS). No copy of the software is delivered or licensed to the Professional.

Developments

Any updates or developments become an integral part of the Platform. Material changes are notified with 30 days’ email notice.

Professional User Account

Account

The Professional must create an account and log in to access the services.

Information

Information provided must be accurate, complete and kept up to date. The following documents are required:
Diploma or certificate;
Curriculum vitae;
Sworn statement;
For therapists: a compliance certificate and professional liability insurance (PLI);
Any other documents requested by MyEntourage Sàrl.

False or misleading information may result in immediate suspension or termination.

Confidentiality

The Professional must keep their login credentials secure and confidential.

Special Conditions of Services

Services

MyEntourage Sàrl provides:
Connecting with users;
Appointment management;
Teleconsultation tools;
Billing and administrative support;
Profile visibility on the Platform;
Resources and support.

Maintenance

MyEntourage Sàrl uses best efforts to maintain availability of the Platform but does not guarantee uninterrupted access.

Obligations of the Professional

Payment of fees

The Professional pays the applicable commission as set out in Article 10.

Legal and regulatory compliance

The Professional complies with all laws, regulations and professional rules applicable to their activity.

Use of services

The Professional shall not:
Use the Platform for any unlawful purpose;
Circumvent the Platform to avoid commission;
Misrepresent qualifications or services;
Infringe third-party rights;
Compromise the security or integrity of the Platform;
Publish unlawful, misleading or harmful content.

Specific professional obligations

The Professional undertakes to:
Provide services with due skill and care;
Respect applicable ethical and deontological rules;
Maintain valid qualifications and authorisations;
Treat users with respect and professionalism;
Honour confirmed appointments.

Freedom of organisation

The Professional freely determines the organisation of their work. There is no minimum availability, no exclusivity and no imposed schedule. The Professional is free to work for other clients, platforms or employers.

Professional liability insurance

All Professionals (not only therapists) must hold professional liability insurance covering their activity in every country where they practise, and provide an annual certificate on request.

Platform unavailability

No commission is due where the Platform is unavailable during a confirmed session. The affected session is offered for rescheduling at no cost.

Non-solicitation

For 12 months after the last service provided, the Professional shall not solicit Platform users off-platform, subject to a minimum of CHF 500 per infringement. This does not apply to spontaneous, inbound contact initiated by a user that the Professional did not encourage.

Session report obligation

The obligation to write an anonymous session report for MyEntourage Sàrl has been removed, as it constitutes an indicator of legal subordination contrary to independent contractor status.

Ratings challenge procedure

The Professional has 30 days to challenge abusive reviews by writing to support@mysuperme.com. MyEntourage Sàrl responds within 15 business days.

The Professional implements appropriate security measures for their devices and access. The Professional warrants they hold the education and authorisations required for their activity.

Intellectual Property

Principle

MyEntourage Sàrl owns all intellectual property rights in the Platform. The SuperMe trademark is registered under WIPO No. 1867119 and IPI Switzerland No. 829678.

Notification of violations

The Professional must promptly notify MyEntourage Sàrl of any suspected infringement of its intellectual property.

Third-party claims

Where a third-party IP claim arises, MyEntourage Sàrl may, at its option: obtain the right to continue use; modify the affected element; replace it with an equivalent; or terminate the affected right.

Third-party Content and Integrations

Amended v2.1

The Platform integrates third-party services such as payment, video and email providers. MyEntourage Sàrl is not liable for third-party content or services.

The Professional is responsible for their own use of these integrations and for complying with the relevant third-party terms.

Financial Conditions

Amended v2.1

25%

Service commission on the VAT-inclusive session amount (minimum EUR 20 per session).

Rate may be modified with 30 days’ email notice. Continued use = acceptance.

Payment flow:

  1. The user pays the full amount to the Platform.
  2. MyEntourage Sàrl deducts its 25% commission (minimum EUR 20 per session).
  3. The net balance is remitted to the Professional.

The commission covers technology tools, matching, payment management, invoicing and visibility.

Payment terms

Commissions are non-refundable, save for the platform-unavailability exception in Article 7.

Taxes

All amounts are stated exclusive of taxes, which are the responsibility of the relevant Party.

Data Protection

Personal data is processed in accordance with our Privacy Policy (app.mysuperme.com/privacy) and in compliance with the GDPR, the revFADP and the UK GDPR.

Confidentiality

Confidentiality undertaking

The Professional keeps all confidential information secret during the contract and for 5 years after its end.

User data

User identification data, session content and notes are strictly confidential. Any breach may result in contractual sanctions.

Marketing and Advertising

The Professional grants MyEntourage Sàrl a limited licence to use their name, logo and trademark to promote the Platform. This licence is revocable at any time by writing to support@mysuperme.com, taking effect within 15 business days.

MyEntourage Sàrl Warranties

The services are provided “as is” and “as available”, without any express or implied warranty to the maximum extent permitted by law.

Liability of MyEntourage Sàrl

Amended v2.1
MyEntourage Sàrl acts solely as a technical intermediary and is not a party to the service relationship between the Professional and the user. It does not warrant any particular result. Its obligations are best-efforts obligations, not obligations of result. To the maximum extent permitted by law, MyEntourage Sàrl is not liable for indirect, incidental or consequential damages.

MyEntourage Sàrl’s total aggregate liability is limited to the amount of fees paid by the Professional over the 12 months preceding the event giving rise to liability.

Indemnification

Amended v2.1
The Professional shall indemnify and hold MyEntourage Sàrl harmless against any claim, loss or damage arising from the Professional’s services, breach of these terms, or relationship with a client/coachee, including reasonable legal costs.

Duration and Termination

Effective date

These terms take effect upon acceptance during registration.

Duration

The agreement is of indefinite duration; there is no fixed-term subscription.

Termination

Either Party may terminate with 20 workable days’ notice. The Professional may terminate via their account or by writing to support@mysuperme.com.

Conduct constituting breach

By way of example:
Circumventing the Platform to avoid commission;
Providing false qualification information;
Serious or repeated misconduct towards users;
Breach of confidentiality;
Compromising Platform security.

Termination for just cause

Termination for just cause is immediate, or with 7 days’ notice where the breach is remediable.

Effects

On termination, access ends, fees already due are retained, and clauses intended to survive (confidentiality, IP, non-solicitation, liability) remain in force.

Miscellaneous

Independence

The Parties are independent. Nothing creates an employment, agency or partnership relationship.

Subcontractors

MyEntourage Sàrl may engage subcontractors to provide the services.

Force majeure

Neither Party is liable for failure due to events beyond its reasonable control, including disaster, war, epidemic, riot, strike, hacking or network failure.

Modification

MyEntourage Sàrl may modify these terms with 30 days’ email notice.

Applicable Law and Jurisdiction

These terms are governed by Swiss law, excluding its conflict-of-law rules. The courts of Lausanne (Vaud), Switzerland, have exclusive jurisdiction.
